Pemba Capital Partners successfully exits Ampion

OVERVIEW

Pemba Capital Partners invested in specialist software assurance and digital transformation IT services company Revolution IT (Rev IT) in June 2018 and cyber security professional services business Shelde in November 2018.  The two companies were merged in October 2019 to form Ampion to create a unique integrated model of cyber security, software assurance and digital transformation solutions in Australia.

In June 2021 Wipro acquired Ampion to expand its footprint and accelerate its journey in the Asia Pacific region.  The combination of Ampion’s experience, talent, capabilities and proven client credentials in ANZ, coupled with Wipro’s global scale, leadership in technology, and a deep understanding of domain and delivery, creates significant synergies.

THE CASE FOR A MERGER

Both Rev IT and Shelde operate in distinct parts of the large, high-growth technology and digital market, driven by strong secular tailwinds.  By bringing both companies together into one group, Pemba was able to create a leading integrated provider of cyber security, software assurance and digital transformation of scale.  The combined group has a unique position in the Australian market with an integrated model with highly complementary customer solutions.  Another benefit of bringing the two companies together was an enlarged diversified base of blue-chip enterprise and government clients with significant potential for cross-selling and growing share of wallet.

As a result of the merger of Rev IT and Shelde, under Pemba’s ownership Ampion demonstrated a strong track record of delivering above market growth.

RESULT

The successful partnership with Pemba enabled an accelerated timeline to exit, the process from initial investment to final exit occurred in less than 3 years. In April 2021, Pemba agreed a deal with Wipro, a multinational information technology corporation based in India, to acquire Ampion.

All key operational members of Ampion will remain with the business post acquisition by Wipro.  Ampion’s clients, employees and the entire market ecosystem will benefit from the synergies of Ampion and Wipro’s combined portfolio of transformation offerings.
